
ROAD TOWN, TORTOLA, BRITISH VIRGIN ISLANDS -- (Marketwire) -- 01/12/12 -- Unique Goals International ("Unique") (c/o Portcullis TrustNet (BVI) Limited, Portcullis TrustNet Chambers, PO Box 3444, Road Town, Tortola, British Virgin Islands), a joint actor of Zaruma Gold Mining Ltd. ("ZGML") (c/o Trident Trust Company BVI Limited, Trident Chambers, PO Box 146, Road Town, Tortola, British Virgin Islands), advises that through the facilities of the TSX Venture Exchange (the "Acquisition"), it has acquired beneficial ownership of and/or control or direction over 1,696,900 common shares (the "Acquired Shares") of Red Tiger Mining Inc. (the "Corporation").
Prior to the acquisition of the Acquired Shares, Unique did not beneficially own and/or exercise control or direction over any common shares of the Corporation (each, a "Common Share") or any other securities of the Corporation.
Following the acquisition of the Acquired Shares, Unique beneficially owns and/or exercises control or direction over 1,696,900 Common Shares on an undiluted basis, representing approximately 2.60% of the issued and outstanding Common Shares. The Acquired Shares combined with the 39,242,000 Common Shares beneficially owned and/or controlled or directed by ZGML and the 1,968,492 Common Shares beneficially owned and/or controlled or directed by Kirkland Intertrade Corp. ("Kirkland"), a joint actor of Unique and ZGML, totals 42,907,392 Common Shares, representing approximately 65.78% of the issued and outstanding Common Shares on an undiluted basis (or 82,230,790 Common Shares or approximately 78.85% on a partially diluted basis, assuming exercise of the warrants to acquire 39,092,000 Common Shares and 1,231,398 Common Shares held by ZGML and Kirkland, respectively).
The value of the Acquired Shares was CDN$1,756,461.19. The Acquisition was completed through the facilities of the TSX Venture Exchange at an average price of CDN$1.0351 per share.
The Acquired Shares were acquired for investment purposes. Unique and/or ZGML and/or Kirkland may, in the future, increase or decrease their respective ownership of securities of the Corporation, directly or indirectly, from time to time depending upon the business and prospects of the Corporation and future market conditions.
