NOVI, Mich., Jan. 15 /PRNewswire-FirstCall/ ITC Holdings Corp. today announced that it has priced $385.0 million aggregate principal amount of its 6.050% Senior Notes due 2018 which will be sold in a private placement to qualified institutional buyers under Rule 144A and to non.U.S. persons outside the United States under Regulation S.
The private placement of senior notes is part of the financing that will be used to refinance the debt incurred by ITC Holdings Corp. to fund the acquisition by ITC Midwest LLC, its wholly-owned subsidiary, of the electric transmission assets of Interstate Power and Light Company.
The senior notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws, and unless so registered, may not be offered or sold except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
