(NYSE: FNF), a leading provider of title insurance, mortgage services and other diversified services, today announced that it has priced its offering of 17,250,000 shares of its common stock at a price of $26.75 per share. The Company has granted the underwriters a 30-day option to purchase 2,587,500 additional shares at the offering price. The offering is expected to close on October 30, 2013, subject to customary closing conditions.
BofA Merrill Lynch and J.P. Morgan are the joint book-running managers, with Barclays, Dowling & Partners Securities, LLC, Jefferies LLC, Keefe, Bruyette & Woods, A Stifel Company, Piper Jaffray, Stephens Inc. and Wells Fargo Securities serving as co-managers. The net proceeds from this offering will be used to pay a portion of the cash consideration for the previously announced merger with Lender Processing Services, Inc. (NYSE: LPS). If the Company does not consummate the merger, the net proceeds will be used for general corporate purposes, which may include the repurchase of shares of its common stock.
