All of the nominee directors listed in Nuinsco's management information circular dated May 12, 2014 (the "Circular") were elected as directors. The results of the shares voted in respect of the election of each director were as follows:

-- re-appointing BDO Canada LLP, Chartered Accountants, Licensed Public Accountants, as the auditor of the Corporation and authorizing the directors to fix the auditor's remuneration; -- Approving all unallocated options, rights and other entitlements under the Company's stock option plan; and, -- Approving all unallocated rights and other entitlements under the Corporation's share incentive plan.
