MONACO -- (Marketwired) -- 06/30/14 -- Navios Maritime Holdings Inc. ("Navios Holdings" or the "Company") (NYSE: NM) announced today that the offering of 4,200,000 American Depositary Shares, each of which represents 1/100th of a share of the Company's Series H Cumulative Redeemable Perpetual Preferred Stock, with a liquidation preference of $2,500.00 per share ($25.00 per American Depositary Share), priced at $25.00 per American Depositary Share. The gross proceeds from the offering before the underwriting discount and other offering expenses are expected to be $105 million. The Company has also granted the underwriters a 30-day option to purchase up to an additional 630,000 American Depositary Shares. Dividends will be payable on the Series H Cumulative Redeemable Perpetual Preferred Stock at a rate of 8.625% per annum of the stated liquidation preference. The Company has applied to have the American Depositary Shares listed on the New York Stock Exchange under the symbol "NMPrH."
The net proceeds of the offering will be used for general corporate purposes, including acquisition of vessels.
