("Genius" or the "Corporation") (CSE: GNI) is pleased to announce a non-brokered private placement (the "Private Placement") of 870,000 common shares of Genius (the "Shares") at a price of $0.25 per Share and 300,000 common share purchase warrants for total gross proceeds of $217,500. Proceeds of the private placement will be used for general corporate purposes.
All securities issued in the Private Placement will be subject to a four-month hold, pursuant to applicable securities laws. Closing of the Private Placement is subject to regulatory approval.
