VANCOUVER, BRITISH COLUMBIA -- (Marketwired) -- 10/07/14 -- West Fraser Timber Co. Ltd. (TSX: WFT) ("West Fraser" or the "Company") announced today that it has priced its offering of US$300 million aggregate principal amount of 4.35% senior unsecured notes due October 15, 2024 (the "Notes"). The Notes were priced at 100% of the aggregate principal amount and will yield 4.35% to maturity. The offering is expected to close on or about October 15, 2014, subject to customary closing conditions. West Fraser will use the net proceeds from the offering to repay its outstanding 5.2% senior unsecured notes that mature on October 15, 2014.
The Notes will be offered and sold in the United States only to "qualified institutional buyers" in accordance with Rule 144A under the United States Securities Act of 1933, as amended (the "Securities Act"), and outside the United States in reliance on Regulation S under the Securities Act. The Notes will be offered and sold in Canada on a private placement basis pursuant to certain prospectus exemptions.
The Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and have not been qualified by a prospectus in Canada. The Notes may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
