Toronto, Ontario--(Newsfile Corp. - December 4, 2014) - SusGlobal Energy Corp. ("SusGlobal Energy" or the "Company") is pleased to announce that its shareholders voted in favour of all resolutions brought before them at the Company's Annual General and Special Meeting of Shareholders held Tuesday, December 2, 2014, in Toronto as follows:
- The Amalgamation of the Company with CommandCredit Corp. under the Business Corporation Act (Ontario) and to continue as one Company to be called SusGlobal Energy Corp., in accordance with the terms and conditions of the amalgamation
agreement dated October 27, 2014, as set out in Schedule "A" to the Joint Information Circular dated October 27, 2014.
- Approve a reduction to the stated capital account in respect of the common shares of the Company as set out in schedule "E" to the Joint Information Circular".
- The election as Directors of the Corporation for the ensuing year or until their successors are elected or appointed, namely:
Gerald Hamaliuk
Marc Hazout
Vincent Ramoutar - Approve a stock option plan; the text of which is set forth in schedule "H" to the Joint Information Circular.
- Approve and confirm a resolution continuing the amalgamated company from the province of Ontario to the state of Delaware, U.S.A.; the text of which is set forth in schedule "I" to the Joint Information Circular.
Shareholders also voted in favour of the appointment of SF Partnership, LLP, Chartered Accountants, as auditors of the Company for the ensuing year and authorized directors to fix their remuneration.
