MARKHAM, ONTARIO -- (Marketwired) -- 01/12/15 -- VIQ Solutions Inc. ("VIQ Solutions" or the "Corporation") (TSX VENTURE: VQS), a global leader in computer-based digital audio and video capture and management, announces that it has sold all of the issued and outstanding shares of International Reporting Inc. ("International Reporting" or "IR"), one of the Corporation's transcription and reporting services subsidiaries, to Mr. Barry Prouse, the President of International Reporting (the "Transaction"). VIQ Solutions has received approximately $1.12 million in proceeds from the Transaction, in the form of $580,000 in cash consideration for the sale of the IR shares and the satisfaction by IR of all intercompany payables in the amount of $540,000, through the payment of $200,000 cash and the issuance of a $70,000 unsecured promissory note to be repaid in full, in two installments, by February 28, 2015 and a $270,000 secured subordinated promissory note payable on a monthly basis until December 15, 2016.
The Corporation has applied some of the cash proceeds towards the retirement of $350,000 principal amount, and associated interest, under its $700,000 13% secured bridge loan. There is no penalty attached to this repayment. The remaining $350,000 principal amount of the bridge loan is due in May 2015. The balance of the Transaction proceeds will be used for ongoing working capital purposes.

As part of the Transaction, VIQ Solutions has entered into a strategic relationship with International Reporting which will allow IR to operate as a reseller of the Corporation's software solutions and to license and integrate VIQ Solutions' NetScribe transcription solution into International Reporting's business processes.
