(NYSE: SERV) (the "Company") announced today the pricing of a secondary offering of 25,000,000 shares of its common stock by certain stockholders of the Company, including investment funds sponsored by, or affiliated with, Clayton, Dubilier & Rice, LLC, at a public offering price of $29.50. In connection with the offering, the selling stockholders have granted the underwriters an option to purchase up to 3,750,000 additional shares of common stock. The Company will not receive any proceeds from the secondary offering. The secondary offering will be made only by means of a prospectus.
The offering is being made through an underwriting group led by J.P. Morgan Securities LLC, Credit Suisse Securities (USA) LLC, Goldman, Sachs & Co. and Morgan Stanley & Co. LLC, who are acting as joint book-running managers and as representatives of the underwriters for the offering.
