Toronto, Ontario--(Newsfile Corp. - June 23, 2015) - Takara Resources Inc. (TSXV: TKK) ("Takara" or the "Company") is pleased to announce that it has closed the second tranche of its previously announced private placement. Pursuant to the closing, the Company has issued and sold 1,900,000 units (the "Units") at a price of CDN $0.05 per Unit for gross proceeds of CDN $95,000 (the "Offering"). Each Unit is comprised of one (1) common share in the capital of the Company ("Common Share") and one (1) share purchase warrant of the Company ("Warrant"). Each Warrant will be exercisable into one Common Share at an exercise price of CDN $0.10 expiring two (2) years from the date of issuance. The Company may close additional tranches under the terms of the private placement in the future.
A finders' fee equal to 7% of the gross proceeds raised and the issuance of a number of finder warrants (the "Finder Warrants") equal to 7% of the Units sold may be paid to eligible finders. Each Finder Warrant shall entitle the holder to acquire one (1) Common Share at a price of $0.10 per Common Share for a period of 24 months from closing. The Company may elect to settle the cash portion of the finders' fees by the issuance of Common Shares in accordance with applicable regulatory requirements and receipt of approvals. Finder fees payable for this tranche total $5,600 and 112,000 Finder Warrants.
The Company intends to use the net proceeds from the Offering for general corporate purposes and working capital purposes. The Offering is subject to the final approval of the TSXV.
Pursuant to applicable securities laws, all securities issued pursuant to the Offering will be subject to a hold period of four months plus one day following the date of issuance of such securities.
