(TSXV: BGE) (the "Company"), is pleased to announce a non-brokered private placement of up to 5,000,000 units ("Units") at a price of $0.30 per Unit for gross proceeds of up to $1,500,000 (the "Offering"). Each Unit will be comprised of one common share ("Common Share") of the Company and one Common Share purchase warrant ("Warrant"). Each Warrant will entitle the holder thereof to purchase one Common Share for a period of five (5) years from the closing of the Offering at a price of $0.40 per Common Share. The proceeds of the Offering will be used for general working capital purposes.
The Offering is also subject to certain conditions including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange and applicable securities regulatory authorities.
Certain insiders of the Company may participate in the Offering.
