Jersey City, New Jersey--(Newsfile Corp. - March 1, 2021) - Copper Property CTL Pass Through Trust ("the Trust"), announced today that the registration statement on Form 10 initially filed by the Trust on December 29, 2020 became effective February 27, 2021.
The Trust will be subject to the reporting requirements of the Securities Exchange Act of 1934, as amended. This means the Trust will begin filing annual reports with the Securities and Exchange Commission ("SEC") on Form 10-K, quarterly reports on Form 10-Q, periodic reports on Form 8-K and subject itself to additional SEC reporting obligations.
The Form 10 provides investors detailed information about the Trust's operations including an overview of the business strategies, risk factors and financial statements of the Trust. The ongoing obligation to timely file with the SEC will also help the Trust's new and current investors make more informed and educated investment decisions about the Trust. Copper Property CTL Pass Through Trust, a New York common law trust, was formed in connection with the reorganization of Old COPPER Company, Inc. (f/k/a J. C. Penney Company, Inc.) ("J.C. Penney").
