VANCOUVER, BC / ACCESSWIRE / August 31, 2022 / Freedom Battery Metals Inc. (CSE:FBAT) (the "Company") is pleased to announce that it has completed its previously announced non-brokered private placement (the "Private Placement") through the issuance of 9,700,000 units (each, a "Unit") of the Company at $0.105 per Unit for aggregate gross proceeds of $1,018,500.
Each Unit is composed of (1) common share (a "Common Share") of the Company, and one-half of one (1/2) Common Share purchase warrant (each whole warrant, a "Warrant"). Each Warrant is exercisable at $0.15 per share for two (2) years from issuance.
The Company intends to use the proceeds from the Private Placement for new property acquisitions, exploration expenditures and general working capital.
All securities issued in connection with the Private Placement are subject to a four-month and one day hold period under applicable securities laws.
The securities issued pursuant to the Private Placement have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the "1933 Act"), or under any state securities laws, and may not be offered or sold, directly or indirectly, or delivered within the United States or to, or for the account or benefit of, U.S. persons (as defined in Regulation S under the 1933 Act) absent registration or an applicable exemption from the registration requirements.
