Medford, Wisconsin--(Newsfile Corp. - June 6, 2024) - Green Light Metals Inc. ("GreenLight" or the "Company") is pleased to announce that it has closed, on a non-brokered basis, the second tranche of a private placement of 1,500,000 common shares of the Company (the "Shares") at a price of C$0.25 per Share for gross proceeds of C$375,000 (the "Offering"). Together with the first tranche of the private placement that closed April 18, 2024, the Company issued a total of 4,880,000 Shares for gross proceeds of C$1,220,000.
In connection with closing of the Offering, 40,000 Shares were subscribed for by related parties of the Company (as such term is defined in Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101")). The participation of the related parties in the Offering constitutes a "related party transaction" within the meaning of MI 61-101. The Company is relying upon exemptions from the formal valuation and minority approval requirements of MI 61-101 based on a determination that the Company is not listed on a specified market set out in section 5.5(b) of MI 61-101.
In addition, the Company issued an aggregate 250,110 Shares at a price of C$0.25 per Share to settle approximately C$62,527 in payables (the "Shares for Debt Settlement") with arms-length vendors to the Company in order to preserve funds for operations.
The securities issued in connection with the Offering and the Shares for Debt Settlement are subject to a statutory hold period of four months plus one day from the closing date of May 31, 2024, in accordance with applicable securities legislation.
