Cielo S.A. - Instituição de Pagamento ("Cielo" or "Company") (B3: CIEL3 / OTC: CIOXY) informs that, considering that, according to the material fact disclosed on August 14, 2024, the necessary quorum was obtained for the conversion of its registration from category "A" to "B" in the auction of the tender offer for the acquisition of shares launched by its controlling shareholders, the Company, on this date, notified JPMorgan Chase Bank, N.A. ("Depository") for the adoption of the necessary measures to terminate its American Depositary Receipts ("ADR") program and the termination of the respective deposit agreement. ADR holders will be duly notified by the Depositary with information on the deadlines and procedures for the termination of the program, in accordance with applicable law.
