COMMUNIQUÉ DE PRESSE Paris, 7 January 2025 |
La Poste SA
announces its intention to issue
undated deeply subordinated notes
and
the launch of a tender offer
on its deeply subordinated notes issued in 2018 (ISIN: FR0013331949)
La Poste SA (the "Company") announces today its intention to issue undated non-call 6.5 year deeply subordinated fixed rate resettable notes (the "New Notes"). The New Notes are expected to be admitted to trading on the regulated market of Euronext Paris. It is also expected that the rating agencies will assign the New Notes a rating of [BB+]/BBB+ (S&P/Fitch).
At the same time, the Company announces the launch of a tender offer (the "Tender Offer") on its €750,000,000 undated deeply subordinated fixed rate resettable notes issued in 2018 (all of which are currently outstanding) (ISIN: FR0013331949) (the "Existing Notes"). The Existing Notes are admitted to trading on the regulated market of Euronext Paris.
The Tender Offer is subject to a maximum acceptance amount, which is expected to be equal to the aggregate principal amount of the New Notes (the "Maximum Acceptance Amount"). The Company reserves the right to decrease or increase the Maximum Acceptance Amount and will determine the final aggregate principal amount of the Existing Notes accepted for purchase, in its sole discretion. The announcement of the Maximum Acceptance Amount will be made as soon as reasonably practicable after the pricing of the New Notes. The acceptance of any Existing Notes validly tendered in the Tender Offer is at the sole and absolute discretion of the Company.
The Tender Offer and the issuance of the New Notes aim, among other things, to proactively manage the Company's layer of hybrid capital.
The Tender Offer begins today, 7 January 2025, and will expire on 14 January 2025 at 5.00 p.m. (CET) subject to extension, withdrawal, reopening, or termination, at the sole and absolute discretion of the Company. The Tender Offer is conditional upon the successful settlement of the New Notes or the waiver of this condition by the Company. The results of the Tender Offer will be announced as soon as practicable on 15 January 2025.
The terms and conditions of the Tender Offer are further described in the Tender Offer Memorandum dated 7 January 2025.
